Bird & Bird advises automotive supplier Brose Sitech on the acquisition of German foam manufacturer Proseat including its international subsidiaries from Japanese Sekisui Kasei Co, Ltd
Brose Sitech is a leading manufacturer of seat structures, complete seat systems and vehicle components and specializes in innovative solutions for the automotive industry. Originally founded in Poland, the joint venture between Brose and Volkswagen supplies high-quality seat frames and interior components to brands such as Volkswagen, Audi, Skoda, Seat and Porsche. The company focuses on innovation, quality and global expansion and supplies markets in Europe, South America and Asia.
Proseat Group employs over 1,300 people at six locations: of which three are located in Germany, Spain, Czech Republic and Poland. The well-known specialist for automotive seat foam parts and light weight components made of EPP (expanded polypropylene) supplies its products in Europe to a broad customer portfolio including, amongst others, Volkswagen Group. The items are processed by Brose Sitech in Wolfsburg and Emden.
Sekisui Kasei Co., Ltd. is a leading manufacturer of innovative plastic and foam solutions based in Japan.
Completion of the acquisition is subject to the merger approval by the EU Commission as well as several other usual closing conditions.
